The various proposals that are being made to "protect" shareholders are epitomized by a Brennan Center report recommending that federal law be changed to require that corporations obtain the consent of shareholders before making political expenditures and that corporate directors be held personally liable for violating this requirement. The uncompromising mindset has two characteristics: principled tenacity, which resists the sacrifice that compromise entails, and mutual mistrust, which inflates the willful opposition that compromise involves.28 Because compromises often require both sides to sacrifice some of their strongly-held principles to enter into the agreement, they may be resisted because they are thought to violate a deeply held core value.
